End User Licence Agreement for esd Software			Endverbraucher-Lizenz für die Nutzung der esd-Software
1. Subject of the Agreement The subject of the Agreement are the computer programs recorded on the data carrier (CD-ROM or directly downloaded from the esd homepage), the description of the program and operating instructions, as well as other associated printed material. All of this is also hereinafter comprehensively referred to as the "SOFTWARE PRODUCT". The manufacturer esd electronic system design gmbh (esd) draws attention to the fact that in view of the current state of the art, it is not possible to create computer software such that it functions free from error in all applications and combinations. The subject of the Agreement is merely a software product which is fundamentally fit for use as stated in the description of the program and in the User's Guide.			1. Gegenstand des Vertrages Gegenstand des Vertrages sind die auf dem Datenträger (CD-ROM oder direkter Download von der esd-Homepage) aufgezeichneten Computerprogramme, die Programmbeschreibung und Bedienungsanleitung sowie sonstiges zugehöriges schriftliches Material. All dies wird im folgenden auch zusammenfassend als "Software" bezeichnet. Der Hersteller esd electronic system design gmbh (esd) macht darauf aufmerksam, dass es nach dem Stand der Technik nicht möglich ist, Computer-Software so zu erstellen, dass sie in allen Anwendungen und Kombinationen fehlerfrei arbeitet. Gegenstand des Vertrages ist nur eine Software, die im Sinne der Programmbeschreibung und der Benutzungsanleitung grundsätzlich brauchbar ist.
2. Extent of Use esd grants you (either an individual or a single entity) the sole, non-exclusive and individual right (hereinafter also referred to as "License"), to use this copy of the SOFTWARE PRODUCT on a single computer and only at one location. As the Licensee, you may transfer the SOFTWARE PRODUCT in its physical form (i.e. stored on a data carrier) from one computer to another, subject to the condition that the SOFTWARE PRODUCT is always only ever used on one computer at a time. More comprehensive use is not permitted.			2. Umfang der Benutzung esd gewährt Ihnen das einfache, nichtausschließliche und persönliche Recht (im folgenden auch als "Lizenz" bezeichnet), die zur Verfügiung gestellte Kopie der Software auf einem einzelnen Computer und nur an einem Ort zu benutzen. Als Lizenznehmer dürfen Sie Software in körperlicher Form (d. h. auf einem Datenträger abgespeichert) von einem Computer auf einen anderen Computer übertragen, vorausgesetzt, dass sie zu irgendeinem Zeitpunkt auf immer nur einem einzelnen Computer genutzt wird. Eine weitergehende Nutzung ist nicht zulässig.
3. Special Restrictions The Licensee is prohibited from, a) without previous written consent from esd, handing over the SOFTWARE PRODUCT or the associated printed material to a Third Party or otherwise making it accessible to a Third Party, b) transferring the SOFTWARE PRODUCT from one computer to another computer via a network or a data link channel, c) without previous written consent from esd, amending, translating, reverse engineering, decompiling or disassembling the SOFTWARE PRODUCT, d) creating works derived from the SOFTWARE PRODUCT or duplicating the printed material.			3. Besondere Beschränkung Dem Lizenznehmer ist untersagt, ohne vorherige schriftliche Einwilligung von esd die Software oder das zugehörige schriftliche Material an einen Dritten zu übergeben oder einem Dritten sonstwie zugänglich zu machen, die Software von einem Computer über ein Netz oder einen Datenübertragungskanal auf einen anderen Computer zu übertragen, ohne vorherige schriftliche Einwilligung von esd die Software abzuändern, zu übersetzen, zurückzuentwickeln, zu entkompilieren oder zu entassemblieren, von der Software abgeleitete Werke zu erstellen oder das schriftliche Material zu vervielfältigen.
4. Ownership of Rights With the acquisition of the product, you merely come to possess the physical data carrier on which the SOFTWARE PRODUCT is recorded (not applicable if downloaded from Web). An acquisition of rights to the SOFTWARE PRODUCT itself is not associated with this. esd particularly reserves all dissemination, reproduction, adaptation and exploitation rights to the SOFTWARE PRODUCT.			4. Inhaberschaft an Rechten Sie erhalten mit dem Erwerb des Produktes nur Eigentum an dem körperlichen Datenträger (nicht zutreffend bei Download vom Web), auf dem die Software aufgezeichnet ist. Ein Erwerb von Rechten an der Software selbst ist damit nicht verbunden. esd behält sich insbesondere alle Veröffentlichungs-, Vervielfältigungs-, Bearbeitungs- und Verwertungsrechte an der Software vor.
5. Copyright The SOFTWARE PRODUCT and the associated printed material are protected by copyright. You are only permitted to make one single reserve copy, solely for backup purposes. You are obliged to attach the esd copyright endorsement onto the reserve copy or to adopt it therein. No copyright endorsement present in the SOFTWARE PRODUCT or registration numbers it contains may be removed. It is expressly prohibited to mix the SOFTWARE PRODUCT as well as the printed material in whole or in part, in original or modified form together with other software or to copy or otherwise reproduce the SOFTWARE PRODUCT in another software product in an enclosed form.			5. Vervielfältigung Die Software und das zugehörige Schriftmaterial sind urheberrechtlich geschützt. Das Anfertigen einer einzigen Reservekopie ist Ihnen nur zu Sicherungszwecken erlaubt. Sie sind verpflichtet, auf der Reservekopie den Urheberrechtsvermerk von esd anzubringen bzw. ihn darin aufzunehmen. Ein in der Software vorhandener Urheberrechtsvermerk, sowie in ihr aufgenommene Registriernummern dürfen nicht entfernt werden. Es ist ausdrücklich verboten, die Software wie auch das schriftliche Material ganz oder teilweise in ursprünglicher oder abgeänderter Form oder in mit anderer Software zusammengemischter oder in anderer Software eingeschlossener Form zu kopieren oder anders zu vervielfältigen.
6. Transferal of the Right of Use The right to use the SOFTWARE PRODUCT can only be transferred to a Third Party with the previous written consent from esd and only under the conditions of this Agreement. Renting and leasing the SOFTWARE PRODUCT are expressly prohibited.			6. Übertragung des Benutzungsrechtes Das Recht zur Benutzung der Software kann nur mit vorheriger schriftlicher Einwilligung von esd und nur unter den Bedingungen dieses Vertrages an einen Dritten übertragen werden. Vermietung und Verleihung der Software sind ausdrücklich untersagt.
7. Duration of the Agreement The Agreement runs for an unlimited period of time. The right of the Licensee to use the SOFTWARE PRODUCT automatically expires without notice, if the Licensee violates a condition of this Agreement. Upon the expiry of the right of use, the Licensee is obliged to destroy the original disks and all copies of the SOFTWARE PRODUCT including any modified copies, as well as the printed material.			7. Dauer des Vertrages Der Vertrag läuft auf unbestimmte Zeit. Das Recht des Lizenznehmers zur Benutzung der Software erlischt automatisch ohne Kündigung, wenn er eine Bedingung dieses Vertrages verletzt. Bei Beendigung des Nutzungsrechtes ist er verpflichtet, die Originaldatenträger, und alle Kopien der Software einschließlich etwaiger abgeänderter Exemplare, sowie das schriftliche Material zu vernichten.
8. Compensation in the Event of a Violation of the Agreement esd draws attention to the fact that the Licensee is liable for all damages resulting from infringements of copyright which arise for esd from a violation of these Agreement conditions on the behalf of the Licensee.			8. Schadensersatz bei Vertragsverletzung esd weist darauf hin, dass der Lizenznehmer für alle Schäden aufgrund von Urheberrechtsverletzungen haftet, die esd aus einer Verletzung dieser Vertragsbestimmungen durch den Lizenznehmer entstehen.
9. Alterations and Updates esd is entitled to create updates of the SOFTWARE PRODUCT at its own discretion. esd is not obliged to make available updates of the program to licensees who have not returned the signed registration card to esd or who have not purchased an update.			9. Änderungen und Aktualisierung esd ist berechtigt, Aktualisierungen der Software nach eigenem Ermessen zu erstellen. esd ist nicht verpflichtet, Aktualisierungen des Programms solchen Lizenznehmern zur Verfügung zu stellen, die die Registrierkarte nicht unterzeichnet an esd zurückgesandt oder die kein Update erworben haben.
10. Warranty and Liability of Manufacturer esd guarantees the original Licensee that at the time of delivery of the data carrier (CD-ROM / not applicable if downloaded from Web), on which the SOFTWARE PRODUCT is recorded, under normal operating conditions and with normal maintenance, the SOFTWARE PRODUCT is free from material defects. For the foregoing grounds named under 1., esd assumes no liability for the freedom from error of the SOFTWARE PRODUCT. In particular, esd does not guarantee that the SOFTWARE PRODUCT will fulfil the needs and purposes of the purchaser or will work together with other programs chosen by the purchaser. The purchaser bears the responsibility for the correct selection and the consequences of using the SOFTWARE PRODUCT, in as far as intended or achieved results are concerned. The same applies to the printed material which accompanies the SOFTWARE PRODUCT.  esd is not liable for damages except in the circumstances that damage has been caused by intent or through gross negligence on the behalf of esd. The liability with respect to traders for gross negligence is also excluded. Any liability resulting from a property assured by esd remains unaffected by this. Liability for consequential harm caused by a defect, which is not covered by the warranty is excluded.			10. Gewährleistung und Haftung des Herstellers esd gewährleistet gegenüber dem ursprünglichen Lizenznehmer, dass zum Zeitpunkt der Übergabe der Datenträger (CD-ROM / nicht zutreffend bei Download vom Web), auf dem die Software aufgezeichnet ist, unter normalen Betriebsbedingungen und bei normaler Instandhaltung in seiner Materialausführung fehlerfrei ist.  Aus den vorstehend unter 1. genannten Gründen übernimmt esd keine Haftung für die Fehlerfreiheit der Software. Insbesondere übernimmt esd keine Gewähr dafür, dass die Software den Anforderungen und Zwecken des Erwerbers genügt oder mit anderen von ihm ausgewählten Programmen zusammenarbeitet. Die Verantwortung für die richtige Auswahl und die Folgen der Benutzung der Software, sowie der damit beabsichtigten oder erzielten Ergebnisse trägt der Erwerber. Das gleiche gilt für das die Software begleitende schriftliche Material.  esd haftet nicht für Schäden, es sei denn, dass ein Schaden durch Vorsatz oder grobe Fahrlässigkeit seitens esd verursacht worden ist. Gegenüber Kaufleuten wird auch die Haftung für grobe Fahrlässigkeit ausgeschlossen. Eine Haftung wegen eventuell von esd zugesicherten Eigenschaften bleibt unberührt. Eine Haftung für Mangelfolgeschäden, die nicht von der Zusicherung umfasst sind, ist ausgeschlossen.
